Offscript — Terms

1. Eligibility and Accounts

You must be at least 18 years old to use the Service.
You are responsible for the accuracy of the information in your account and for keeping your credentials secure.
You are responsible for all activity that occurs under your account.

2. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law.
Record any conversation without obtaining the consent required by the laws of the relevant jurisdictions.
Attempt to access, interfere with, or disrupt the Service, our systems, or other users.
Reverse engineer, copy, or resell the Service, except as permitted by law.
Upload content that is illegal, harmful, infringing, or violates the rights of others.

You are solely responsible for complying with all laws that apply to your use of the Service, including recording and consent laws.

3. Your Data

You retain ownership of the content you provide to the Service, including your conversations and transcripts.
You grant us a limited license to process and store this content solely to provide and improve the Service for you.
Our handling of personal information is described in our Privacy Policy.
You may delete your data or your account at any time, as described in the Privacy Policy.

4. Third-Party Integrations

Offscript lets you optionally connect third-party accounts (such as Google and Slack) to enable certain features. These connections are not required to use the core Service.
Where a connection involves Google services, Offscript requests read-only access and uses the data only as described in our Privacy Policy and in accordance with the Google API Services User Data Policy, including its Limited Use requirements.
You may disconnect any integration at any time from within Offscript, or revoke access from the third party's own account settings.
Your use of any connected third-party service is also subject to that third party's own terms and policies.

5. Intellectual Property

The Service, including its design, features, and content (other than your data), is owned by us and protected by intellectual property laws.
Our name, logo, and brand elements are our trademarks. You may not use them without our written permission.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms.

6. Subscriptions and Payment

A free tier is available with a limited amount of usage each week. Paid plans provide a larger allowance.
Paid plans are billed monthly in advance and renew automatically until cancelled. Fees, the billing cycle and the renewal date are shown before you pay.
You may cancel at any time from Settings. Cancellation stops the next renewal; you keep access for the remainder of the period you have already paid for, after which the account returns to the free tier.
Credits are prepaid usage purchased separately. They do not expire and are only consumed once your plan allowance for the period is used up. Credits are not transferable and have no cash value.
Changing plans takes effect immediately when moving to a higher-priced plan, and at the end of the current billing period when moving to a lower-priced one.
If you believe you have been charged in error, or something has gone wrong on our side, contact billing@offscript.tech and we will review it and refund where appropriate. Beyond that, fees are non-refundable except as required by law.
We may change pricing with reasonable notice; changes apply to subsequent billing periods. An existing subscription keeps the price it was taken out at until it is cancelled or changed.
Payments are processed by Razorpay. We do not receive or store your card details.

7. AI-Generated Content

The Service uses artificial intelligence to generate transcripts, summaries, and contextual information. You acknowledge that:

AI-generated output may contain errors or inaccuracies.
The Service is a tool to support, not replace, your own judgment.
You are responsible for verifying important information before relying on it.

8. Service Availability and Changes

We aim to keep the Service available, but we do not guarantee uninterrupted access.
We may add, change, or remove features, and may suspend or discontinue parts of the Service, at any time.
We will provide reasonable notice of material changes where practicable.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

10. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the 12 months before the claim arose, or, if you have not paid us, INR 1,000.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of applicable law.

12. Termination

You may stop using the Service or close your account at any time.
We may suspend or terminate your access if you breach these Terms or if we reasonably believe doing so is necessary to protect the Service or other users.
Provisions that by their nature should survive termination will survive (including ownership, disclaimers, limitations of liability, and dispute resolution).

13. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and update the "Last updated" date. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect means you accept the updated Terms.
